Acceptance of Terms

By accessing and using the services provided by Maxiro B.V. ("Maxiro", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service. These terms apply to all users of our property management services and website visitors. If you do not agree with any part of these terms, you must not use our services. Maxiro is a company registered in the Netherlands under company registration number 60398427, with its registered office at Parkweg 101, 1348 IE Almere, Flevoland, Netherlands.

Description of Services

Maxiro provides comprehensive property management services including but not limited to rental management, tenant screening, property maintenance coordination, financial reporting, and related real estate services. Our services are provided in accordance with Dutch law and regulations governing property management and real estate services.

User Obligations

As a user of Maxiro's services, you agree to:

  • Provide accurate, complete, and up-to-date information about yourself and your properties
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised use
  • Comply with all applicable laws and regulations related to property ownership and management
  • Pay all fees and charges associated with our services in a timely manner
  • Cooperate with Maxiro in the performance of property management services
  • Not use our services for any unlawful or prohibited purposes
  • Respect the rights of tenants and other parties involved in property management activities

Service Agreements

Specific property management services are governed by separate service agreements between Maxiro and property owners. These Terms of Service supplement and do not replace individual service agreements. In case of conflict between these terms and a specific service agreement, the service agreement shall prevail for matters specifically addressed therein.

Fees and Payment

Fees for Maxiro's services are specified in individual service agreements or quotations. Payment terms, methods, and schedules will be clearly communicated before service commencement. Late payments may incur additional charges as specified in the relevant service agreement. All fees are quoted in Euros and are exclusive of applicable VAT unless otherwise stated.

Intellectual Property

All content, materials, and intellectual property on the Maxiro website and in our service materials, including but not limited to text, graphics, logos, images, software, and design elements, are owned by or licensed to Maxiro and are protected by Dutch and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our express written permission.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these Terms of Service. By using our services, you consent to the collection and use of your information as described in our Privacy Policy and in accordance with applicable data protection laws including the General Data Protection Regulation (GDPR).

Limitation of Liability

To the maximum extent permitted by Dutch law, Maxiro's liability for any claims arising from or related to our services is limited to the total fees paid by you to Maxiro in the twelve months preceding the claim. Maxiro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, regardless of the theory of liability and even if advised of the possibility of such damages. This limitation applies to all claims, whether based on contract, tort, or any other legal theory.

Professional Standards

Maxiro strives to provide professional property management services in accordance with industry standards and best practices. However, we do not guarantee specific outcomes such as rental income levels, tenant behaviour, or property value appreciation. Property management involves inherent risks, and past performance does not guarantee future results.

Force Majeure

Maxiro shall not be liable for any failure or delay in performance of its obligations under these terms or any service agreement if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or technical failures.

Termination

Either party may terminate the service relationship in accordance with the terms specified in the relevant service agreement. Maxiro reserves the right to terminate or suspend services immediately if you breach these Terms of Service or engage in conduct that we deem harmful to our business, other clients, or third parties. Upon termination, you remain liable for all fees and charges incurred up to the date of termination.

Modifications to Terms

Maxiro reserves the right to modify these Terms of Service at any time. We will provide notice of material changes by posting the updated terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms. If you do not agree to the modified terms, you must discontinue use of our services.

Governing Law

These Terms of Service and all related agreements are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the competent courts in the Netherlands. The parties agree that Dutch law applies regardless of conflict of law principles.

Dispute Resolution

We encourage clients to contact us directly to resolve any concerns or disputes. If a dispute cannot be resolved through direct communication, the parties agree to attempt resolution through mediation before pursuing litigation. Any legal proceedings must be commenced within one year of the date the cause of action arose.

Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intent of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Maxiro regarding the use of our services. These terms supersede all prior or contemporaneous communications, proposals, and agreements relating to the subject matter herein.
